Regulatory rules for ESOPs differ between countries. In most instances, the law of the country where the issuing company is incorporated determines how share options must be treated.

Besides setting your compliance duties, these rules can also have a major impact on your company’s tax obligations.

Below are the core compliance areas to consider when managing equity incentives for hires overseas:

Tax treatment

You must understand each country’s tax withholding and reporting obligations where you employ staff. Incorrect filings in those jurisdictions can expose your business to penalties and fines.

For example, an employee might only owe equity-related tax in their own country, while your company could be required to pay—or at minimum withhold—taxes in both jurisdictions.

Also take into account each employee’s personal tax position. Some countries, like the UK, have tax-favoured schemes for staff; others do not. When choosing equity award types by country, check which tax-qualified programmes exist and whether they could disadvantage your people tax-wise.

Employment laws

If you plan to grant share options abroad, you must understand the employment laws in those countries as they apply to equity.

For instance, certain jurisdictions bar using specific performance metrics when granting equity, while others forbid performance conditions entirely. Some allow cash to be offered instead of stock; others insist employees receive the same class of asset.

Complying with these rules is essential to avoid penalties.

Securities laws

Securities rules differ by country, and offering share options can trigger registration or exemption filing requirements with local regulators.

Currency exchange

In certain jurisdictions, tight foreign exchange controls can apply to purchasing, selling or transferring shares, which may impact how employees actually receive their stock benefits.

Reporting

Most jurisdictions require businesses to report ESOP information to tax authorities, regulators and employees, including disclosures about the plan’s financial risks and potential rewards.

Data protection

Equity plans contain sensitive employee data, so data security is a key compliance issue. Ensure your plan complies with local data-protection laws where your employees are based (for example, GDPR in Europe) to avoid fines.
